Terms & Conditions of Use Agreement

In this Terms & Conditions of Use Agreement (“Agreement”), “ReNew U Therapy & Wellness, LLC,” “we,” “our,” or “us” refers to ReNew U Therapy & Wellness, LLC, the healthcare provider, health system, physician practice, facility, management company, or other healthcare organization that posts, links to, or adopts these Terms, together with its affiliates, subsidiaries, successors, assigns, providers, workforce members, contractors, vendors, and service providers as applicable. ReNew U Therapy & Wellness, LLC provides services and use of ReNew U Therapy & Wellness, LLC’s website (the “Site”) to you subject to the following terms and conditions. These Terms apply to the Site and to any public website pages, patient portals, online forms, bill-pay features, appointment-request features, chat, call-tracking, texting, email, advertising, analytics, mobile, telehealth, patient-engagement, health-education, or other online or offline features that link to or incorporate these Terms (collectively, the “Site” or “Services”).

PLEASE READ THE ENTIRE TERMS & CONDITIONS OF USE CAREFULLY BEFORE YOU CONTINUE. BY CONTINUING, ACCESSING, BROWSING, CLICKING “ACCEPT,” SUBMITTING INFORMATION THROUGH, OR USING THE SITE OR SERVICES, YOU ARE DEEMED TO HAVE ACCEPTED THESE TERMS & CONDITIONS OF USE IN THEIR ENTIRETY. IF YOU DO NOT AGREE, DO NOT USE THE SITE OR SERVICES.

IMPORTANT NOTICE: THESE TERMS INCLUDE DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, RELEASES, INDEMNIFICATION OBLIGATIONS, A MANDATORY INDIVIDUAL ARBITRATION PROVISION, A JURY-TRIAL WAIVER, CLASS-ACTION AND REPRESENTATIVE-ACTION WAIVERS, AND PROCEDURES GOVERNING COORDINATED OR MASS ARBITRATIONS.

YOU MUST BE AT LEAST 18 YEARS OLD, OR THE AGE OF MAJORITY IN YOUR JURISDICTION, TO USE THE SITE OR SERVICES UNLESS YOUR PARENT OR LEGAL GUARDIAN HAS AUTHORIZED AND SUPERVISES YOUR USE AND YOU ARE USING THE SITE SOLELY AS PERMITTED BY THESE TERMS AND APPLICABLE LAW. THE SITE IS NOT DIRECTED TO CHILDREN UNDER 13.

HIPAA Policy / Privacy Statement / Tracking Technologies

Your personally identifiable information obtained by us from this Site is subject to our Privacy Statement and in some cases, our HIPAA Notice of Privacy Practices as well. For more information, our Privacy Statement and our HIPAA Policy are available online. The Privacy Statement, HIPAA Notice of Privacy Practices, cookie banner, consent-management controls, patient-portal terms, telehealth consent, payment terms, and any just-in-time notices or feature-specific terms are incorporated by reference to the extent applicable. If there is a direct conflict between these Terms and the HIPAA Notice of Privacy Practices regarding Protected Health Information (“PHI”), the HIPAA Notice of Privacy Practices controls for PHI. If there is a conflict between these Terms and a signed patient consent, business associate agreement, data processing addendum, or provider-specific agreement, the more specific agreement controls to the extent of the conflict.

The Site may use cookies, pixels, tags, web beacons, analytics tools, advertising technologies, session-replay tools, heat-mapping tools, call-tracking tools, chatbots, server logs, device identifiers, local storage, scripts, APIs, and similar technologies (“Tracking Technologies”). We do not authorize third-party advertising, analytics, session-replay, call-tracking, chatbot, or similar vendors to collect, use, or disclose PHI for their independent advertising, profiling, model-training, resale, or unrelated purposes. We will not intentionally deploy third-party advertising pixels, analytics tags, or similar Tracking Technologies on authenticated patient-portal pages, medical-record pages, appointment-intake forms, bill-pay forms, or other areas where PHI is reasonably expected to be submitted, accessed, or displayed unless we have implemented legally sufficient authorization, consent, contractual safeguards, business associate agreements where required, configuration controls, masking/suppression, or other measures required by applicable law.

You understand that website and mobile-device technologies may transmit device identifiers, IP addresses, URLs, page titles, referrer information, form-field metadata, standard browser information, clickstream data, approximate geolocation, and similar data. To reduce risk under HIPAA, state privacy laws, wiretap laws, the California Invasion of Privacy Act (“CIPA”), consumer-protection laws, and similar laws, you agree not to submit PHI, sensitive personal information, or emergency information through unauthenticated public pages, search bars, marketing forms, chat tools, or other non-secure features unless the page expressly permits that submission and provides appropriate notices or consent mechanisms.

Acceptance; Updates; Refusal of Service

This Agreement sets forth our usage guidelines and standards of use of the Site. By using the Site you (as a “User”) agree to these terms and conditions. A “User” is defined as any visitor of the Site. If you do not agree to the terms and conditions of this Agreement, you should immediately discontinue use or viewing of the Site. You represent that all information you provide is true, accurate, current, complete, and submitted with all legally required consents and authorizations, including if you submit information about another person, dependent, minor, patient, employee, or family member.

If you wish to make use of the Site and its features or services, you agree to the terms in this Agreement and indicate your acceptance of the same by continued use of the Site along with acceptance on all areas of the site in which you engage or enter information (e.g. when you pay your bill online). We reserve the right, at any time, to modify, alter, or update the terms and conditions of this Agreement. If we make any material changes, we will notify you by means of a notice on the Site prior to the change becoming effective. We encourage you to periodically review this page for the latest information on our terms and to review our most current terms. Your continued use of the Site or Services after revised Terms become effective constitutes acceptance of the revised Terms. We may refuse, suspend, restrict, or terminate access to the Site or Services for any reason, including suspected unlawful activity, misuse, security risk, inaccurate information, unauthorized access, or violation of these Terms.

ReNew U Therapy & Wellness, LLC may refuse to offer or continue offering services to any person or entity for any reason or no reason and may change its eligibility criteria from time to time.

Description of Service – Limited Use License Agreement

ReNew U Therapy & Wellness, LLC operates a website, ReNew U Therapy & Wellness, LLC website, which is designed to provide information about the hospital, its health service offerings, and to provide efficient patient interaction. By using the Site, you are licensed to use it only for the purpose of engaging with ReNew U Therapy & Wellness, LLC under this Agreement. The Site is intended for general informational, administrative, patient-engagement, billing, scheduling, navigation, and communications purposes only. The public portions of the Site are not intended to provide medical advice, diagnosis, treatment, emergency assistance, or professional clinical judgment.

No Emergency Use; No Medical Advice on Public Site

IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR SEEK IN-PERSON EMERGENCY CARE IMMEDIATELY. DO NOT USE THE SITE, CHAT, EMAIL, TEXT, APPOINTMENT REQUEST, BILL-PAY, PATIENT-PORTAL MESSAGE, OR ANY AI OR AUTOMATED FEATURE FOR EMERGENCIES, URGENT MEDICAL NEEDS, SYMPTOMS REQUIRING IMMEDIATE ATTENTION, MEDICATION CHANGES, DIAGNOSIS, OR TREATMENT DECISIONS.

The public Site content is for general informational and educational purposes only and is not a substitute for evaluation, advice, diagnosis, or treatment by a licensed healthcare professional. Use of the Site does not create a provider-patient relationship except as expressly established by applicable law, a signed patient agreement, registration with a provider, or an encounter with a licensed provider. You should consult a qualified healthcare professional regarding individual medical needs and should not disregard, avoid, or delay obtaining medical advice because of information on the Site.

Proprietary Rights to Content

You acknowledge and agree that the Site contains information, data, software, photographs, graphics, text, images, logos, icons, typefaces, audio and video material, and/or other material (collectively referred to as “Content”) protected by copyright, trademark, patents, service marks, or other proprietary rights, and that these rights are valid and protected in all forms, media, and technologies existing now or hereinafter developed. The Content also includes page layouts, interfaces, workflows, forms, patient-education materials, provider information, databases, code, scripts, prompts, prompt libraries, AI-assisted workflows, analytics, and other proprietary materials.

By visiting the Site, you are licensed to use the Content only for personal use. The downloading of the whole or significant portions of any Content or database is strictly prohibited. Resale of any Content or database or portion thereof, is also prohibited. You may not scrape, harvest, crawl, monitor, copy, reproduce, distribute, frame, mirror, benchmark, reverse engineer, decompile, disassemble, translate, extract prompts from, prompt-inject, train on, test against, validate against, or create derivative works from the Site, Content, Services, code, outputs, or materials, including for development, training, validation, benchmarking, or operation of a competing product, service, model, AI system, or platform.

All Content displayed on the Site and all software, data and information used to create the Site and the Content, including text and images, method of display and presentation, source code, object code, embedded routines and programs and other materials, as well as all copyrights, trademarks, service marks, patents and other intellectual property rights, or proprietary rights therein or thereto, are owned by ReNew U Therapy & Wellness, LLC, its affiliates, suppliers or licensors, and are protected under U.S. and international copyright, trademark and other applicable laws and treaties including international trade and export laws. All rights not expressly granted to you by Us in this Agreement are reserved by ReNew U Therapy & Wellness, LLC and you acknowledge and agree that you do not acquire any ownership rights by accessing or downloading copyrighted material or Content from ReNew U Therapy & Wellness, LLC.

User Submissions; Portal Credentials; Authorized Representatives

You are responsible for all content, information, communications, forms, requests, files, images, prompts, data, messages, and materials submitted through the Site or Services (“User Materials”). You represent and warrant that you have the legal right and authorization to submit all User Materials and that they are accurate, complete, lawful, non-infringing, and not misleading. If you act as a personal representative, parent, guardian, caregiver, proxy, or authorized representative, you represent that you have authority to act for the patient and will provide documentation if requested.

You are responsible for maintaining the confidentiality of usernames, passwords, portal credentials, authentication factors, devices, and accounts. You may not share credentials or allow unauthorized access. You must promptly notify us of suspected unauthorized access, loss of credentials, inaccurate information, or misuse. We are not responsible for unauthorized access resulting from your failure to protect credentials, devices, accounts, or communications channels.

Disclaimers

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

YOUR USE OF THE SITE IS AT YOUR SOLE RISK. THE SERVICES AND INFORMATION ARE PROVIDED BY ReNew U Therapy & Wellness, LLC ON AN “AS IS” AND ON AN “AS AVAILABLE” BASIS ONLY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ReNew U Therapy & Wellness, LLC MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE USE OR THE RESULTS OF THE SITE’S SERVICES IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. ReNew U Therapy & Wellness, LLC SHALL HAVE NO LIABILITY FOR ANY INTERRUPTIONS IN THE USE OF THE SITE. WE DO NOT WARRANT THAT TRACKING TECHNOLOGIES, CONSENT TOOLS, PORTALS, PAYMENT SYSTEMS, CHAT, AI TOOLS, TELEHEALTH FEATURES, THIRD-PARTY PLATFORMS, OR COMMUNICATIONS TOOLS WILL BE AVAILABLE, ERROR-FREE, SECURE, ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS & CONDITIONS OF USE.

Medical and HIPAA Security Disclaimer

FOR USERS SUBMITTING OR ACCESSING PATIENT INFORMATION WITHIN THE SECURE SECTION OF THE SITE, INCLUDING THE PATIENT PORTAL: ReNew U Therapy & Wellness, LLC IS A HEALTH CARE PROVIDER AND SUBJECT TO THE HEALTH INSURANCE PORTABILITY AND ACCOUNTABILITY ACT OF 1996 (“HIPAA”). WHEN YOU SUBMIT OR ACCESS PATIENT INFORMATION ON THE SECURE SECTION OF THE SITE, ReNew U Therapy & Wellness, LLC IS PROCESSING PROTECTED HEALTH INFORMATION (“PHI”). UNDER HIPAA, PROVIDERS LIKE ReNew U Therapy & Wellness, LLC ARE REQUIRED TO USE REASONABLE AND APPROPRIATE SAFEGUARDS TO PREVENT DATA BREACHES. ALTHOUGH ReNew U Therapy & Wellness, LLC USES AN INTEGRATED, ENCRYPTED, THIRD PARTY PLATFORM TO ACCEPT THIS PHI, THERE IS NO 100% GUARANTEE THAT ALL DATA AVAILABLE VIA THE INTERNET WILL BE SAFE. You acknowledge that no website, portal, payment system, telehealth technology, email, text message, phone system, mobile device, internet transmission, cloud vendor, or storage method is perfectly secure. We will evaluate and provide legally required notices if we become aware of unauthorized access, acquisition, disclosure, or use of PHI or other information that triggers a notification obligation under HIPAA, state breach-notification laws, the FTC Health Breach Notification Rule where applicable, or other governing law.

THE MATERIAL AVAILABLE THROUGH THE SITE IS FOR INFORMATIONAL PURPOSES ONLY. Artificial Intelligence, Chat, and Automated Tools

The Site or Services may include or support automated tools, chatbots, conversational agents, scheduling assistants, call-routing tools, transcription tools, generative artificial-intelligence tools, machine-learning systems, provider-support tools, decision-support features, or other AI-assisted functionality (“AI Tools”). AI Tools are intended to support administrative, navigation, scheduling, quality-assurance, security, communications, and operational functions and are not healthcare providers. AI Tools do not provide medical advice, diagnosis, treatment, emergency assistance, or professional clinical judgment.

AI-generated content may be inaccurate, incomplete, outdated, biased, misleading, or inappropriate. You must not rely on AI-generated content as a substitute for professional healthcare advice. You are responsible for contacting a licensed healthcare provider regarding any medical question, symptom, condition, treatment, medication, test result, emergency, or urgent concern. We may monitor, log, audit, restrict, suspend, disable, modify, or review AI Tools and related inputs/outputs for safety, security, quality, compliance, troubleshooting, or operational purposes, subject to applicable law.

Online Bill Pay, Patient Portal, Telehealth, and Third-Party Platforms

We contract with third parties to provide the secure platforms that allows Users to engage with us, such as to pay your ReNew U Therapy & Wellness, LLC bill or access your ReNew U Therapy & Wellness, LLC medical record. Although the links to these systems are embedded in our site, the information submitted through those links is processed by these third parties. Users of the Site who choose to engage in any of these services are entirely responsible for the information submitted whether authorized or not authorized. Third-party portals, payment processors, telehealth vendors, communication tools, analytics providers, hosting providers, cloud providers, call-tracking providers, and other vendors may have their own terms and privacy practices. We are not responsible for third-party systems except to the extent required by law or expressly stated in a written agreement.

You, in submitting or accessing patient information or any other information, specifically consent to the storage and processing of your personal information with us through these third parties. In consideration of your use of the Site, and specifically this secure section, you agree to provide true, accurate, current, and complete information about yourself (or your patient if you are an authorized representative or guardian) as requested. You agree not to provide false information, impersonate another person, exceed the scope of your authority, or access any record, bill, message, portal account, telehealth feature, or communication that you are not authorized to access.

Furthermore, you understand that you may not:

  • Select or use a name of another person with the intent to impersonate that person;
  • Use the rights of any person other than yourself without authorization; or
  • Submit information, including to receive our email communications, if you are under the age of 13.
  • use the Site to submit unlawful, false, defamatory, harassing, obscene, infringing, threatening, deceptive, or harmful content;
  • transmit malware, unauthorized scripts, scrapers, bots, viruses, spyware, ransomware, or destructive code;
  • attempt to bypass, disable, or interfere with security, authentication, consent-management, masking, monitoring, logging, audit, or access-control features;
  • use the Site or Services to record, intercept, monitor, or capture communications without legally sufficient consent; or
  • use the Site or Services in violation of HIPAA, CIPA, TCPA, CAN-SPAM, consumer-protection laws, privacy laws, unfair-trade-practices laws, or other applicable laws.

Electronic Communications; Calls; Texts; Recording

By providing an email address, telephone number, mobile number, portal account, or other contact information, you consent to receive communications from or on behalf of us, our providers, vendors, and service providers, including emails, calls, texts, portal messages, prerecorded messages, artificial voice messages, appointment reminders, billing notices, health-related communications, informational messages, and legally permitted marketing communications. Where required by law, we will obtain legally sufficient consent before sending marketing texts, autodialed calls, prerecorded calls, artificial-voice calls, or similar communications. Consent to marketing communications is not a condition of receiving healthcare services unless expressly permitted by law. Message and data rates may apply. You may opt out of marketing messages as instructed in the message, but we may continue to send transactional, treatment, payment, operations, emergency, security, legal, or administrative messages where permitted by law.

Your communications with ReNew U Therapy & Wellness, LLC may be recorded or monitored and by using such communications methods you are consenting to the recording or monitoring of the same, to the extent permitted by applicable law. If a communication feature is recorded, monitored, transcribed, or analyzed, we may use recordings, transcripts, metadata, and related information for quality assurance, training, documentation, security, legal compliance, and operational purposes, subject to applicable law and our Privacy Statement/HIPAA Notice.

Legal Compliance

ReNew U Therapy & Wellness, LLC reserves the right to use any information available by virtue of Your use of the Site (including, for example, reverse IP address inquiry) in order to comply with any law, to enforce our Terms & Conditions of Use Agreement or Privacy Statement, or to protect the rights, property or safety of all visitors and Users. We reserve the right without obligation to review the content of the Site, and other information posted to the Site to determine compliance with our Agreement and operating rules established by Us or our affiliates, and to satisfy any law, regulation, or authorized government request. We may preserve, disclose, or restrict information where we reasonably believe it is necessary to comply with law, legal process, law enforcement, professional obligations, patient-safety concerns, security incidents, fraud prevention, unauthorized access, or enforcement of these Terms.

Modifications and Interruption to Service

ReNew U Therapy & Wellness, LLC reserves the right to modify or discontinue any services on the Site with or without notice. ReNew U Therapy & Wellness, LLC shall not be liable to a User or any third party should ReNew U Therapy & Wellness, LLC exercise its right to modify or discontinue any service on the Site. Each User acknowledges and accepts that ReNew U Therapy & Wellness, LLC does not guarantee continuous, uninterrupted, or secure access to the Site and operation of the Site may be interfered with or adversely affected by numerous factors or circumstances outside of our operation or control. We also may suspend, disable, limit, modify, or remove features for safety, privacy, security, legal, operational, vendor, risk-management, or compliance reasons.

Service Disclaimer Information

ReNew U Therapy & Wellness, LLC disclaims liability for any products, sales, transactions, or information provided by or related to third parties or affiliates and obtained through any posting, listing or link via the Site. We do not endorse and are not responsible for third-party websites, services, vendors, platforms, providers, advertisers, analytics tools, content, statements, representations, products, or services, unless expressly stated in writing.

Users agree to indemnify, hold harmless, and defend ReNew U Therapy & Wellness, LLC and its staff, agents and officers (hereinafter referred to as “ReNew U Therapy & Wellness, LLC Parties”) from any and all fault, liabilities, costs, expenses, claims, and demands or lawsuits arising out of, related to or connected with this Agreement or the services offered on the Site hereunder. This includes claims arising from your misuse of the Site; unauthorized access; inaccurate information; violation of laws, consent requirements, privacy rights, intellectual-property rights, publicity rights, or third-party rights; any information you submit about another person without authority; or any use of the Site that causes or contributes to a privacy, security, consumer-protection, wiretap, telemarketing, email, text-message, or healthcare-compliance claim.

Limitation of Liability

ReNew U Therapy & Wellness, LLC SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER, AND IN PARTICULAR ReNew U Therapy & Wellness, LLC SHALL NOT BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST INCOME, LOSS OF REVENUE, OR LOSS OF USE, ARISING OUT OF OR RELATED TO THE USE OR THE INABILITY TO USE THE SITE OR THE INFORMATION CONTAINED IN IT, OR FOR THE COST OF PROCUREMENT OF SUBSTITUTE SERVICES OR RESULTING FROM ANY SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE SITE OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OF DATA PROVIDED BY YOU, WHETHER SUCH DAMAGES ARISE IN CONTRACT, NEGLIGENCE, TORT, UNDER STATUTE, IN EQUITY, AT LAW, OR OTHERWISE, EVEN IF ReNew U Therapy & Wellness, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, THE MAXIMUM AGGREGATE LIABILITY OF THE ReNew U Therapy & Wellness, LLC PARTIES ARISING FROM OR RELATING TO THE SITE, SERVICES, CONTENT, USER MATERIALS, THIRD-PARTY SERVICES, TRACKING TECHNOLOGIES, AI TOOLS, COMMUNICATIONS, OR THESE TERMS WILL NOT EXCEED THE GREATER OF $500 OR THE AMOUNT YOU PAID DIRECTLY TO ReNew U Therapy & Wellness, LLC THROUGH THE SITE FOR THE SPECIFIC WEBSITE-BASED SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT LIMIT RIGHTS THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

SOME JURISDICTIONS DO NOT ALLOW FOR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, THEREFORE SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THESE TERMS OF USE, THE SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

Release

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE THE ReNew U Therapy & Wellness, LLC PARTIES FROM ALL CLAIMS, DEMANDS, DAMAGES, LOSSES, LIABILITIES, COSTS, EXPENSES, AND CAUSES OF ACTION ARISING FROM OR RELATING TO THE SITE, SERVICES, CONTENT, USER MATERIALS, THIRD-PARTY SERVICES, TRACKING TECHNOLOGIES, PLATFORM CHANGES, AI TOOLS, COMMUNICATIONS, DATA PRACTICES, SECURITY INCIDENTS, OR ANY CONDUCT OR CONTENT OF ANY THIRD PARTY, EXCEPT TO THE EXTENT A CLAIM CANNOT BE RELEASED UNDER APPLICABLE LAW.

Indemnification

You agree to indemnify and hold ReNew U Therapy & Wellness, LLC, its subsidiaries, affiliates, officers, agents, attorneys, and employees, harmless from any claim or demand of any kind whatsoever, including reasonable attorneys’ fees and costs, made by any third party due to or arising out of the use of the Site, the violation of this Agreement, or infringement by another User, or of any intellectual property. You also agree to defend the ReNew U Therapy & Wellness, LLC Parties from claims arising from your breach of these Terms or the Privacy Statement; misuse of the Site; unauthorized access to patient information; submission of information about another person without authority; failure to obtain required consents; violation of HIPAA, CIPA, consumer-protection, privacy, telemarketing, email, text-message, advertising, intellectual-property, publicity, accessibility, or other laws; or any negligent, willful, fraudulent, or unlawful act or omission by you.

COPPA Notice; Minors

The Site was not designed for anyone under the age of 13. We are not responsible for any access or use of the Site by children or minors under the age of 13. If you permit a minor to use the Site or Services, you are responsible for the minor’s use, including supervision, accuracy of information, consent, and compliance with these Terms. We do not knowingly collect personal information from children under 13 through public Site features without legally required consent.

ReNew U Therapy & Wellness, LLC disclaims all warranties, express or implied, as to the accuracy, legality, reliability, or validity concerning Vendors and their offerings, and you agree that any recourse for dissatisfaction or problems with Vendors must be directed to the Vendors and not ReNew U Therapy & Wellness, LLC as you agree to waive any claim you may have against us with respect to any Vendor’s claim.

Governing Jurisdiction; Arbitration; Class-Action Waiver; Mass-Filing Procedures

This Agreement will be governed by and construed in accordance with the laws of the United States of America and the laws of the State of Ohio, without regard to any principles of conflicts of law. Any and all services and rights of use hereunder are considered performed in the United States of America and You agree that any action at law or in equity that arises out of or relates to ReNew U Therapy & Wellness, LLC or these Terms & Conditions of Use will be filed only in the state or federal courts located in Mahoning County, Ohio or the Federal Northern District of Ohio and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action, except that the Federal Arbitration Act governs the arbitration agreement below.

Before filing any claim, you and we agree to attempt to resolve the dispute informally for at least thirty (30) days after written notice describing the dispute, facts, requested relief, claimant’s contact information, and counsel if any. Except for small-claims matters and requests for temporary or preliminary injunctive relief to protect intellectual property, privacy, security, PHI, confidential information, or unauthorized access, any dispute, claim, controversy, demand, or cause of action arising from or relating to the Site, Services, Content, Privacy Statement, HIPAA Notice, Tracking Technologies, communications, data practices, alleged privacy or consumer-protection violations, these Terms, or prior versions of these Terms will be resolved only by binding individual arbitration administered by the American Arbitration Association under the applicable AAA rules, including the AAA Consumer Arbitration Rules, Commercial Arbitration Rules, and Mass Arbitration Supplementary Rules as applicable.

YOU AND WE WAIVE THE RIGHT TO SUE IN COURT, TO HAVE A JURY TRIAL, AND TO PARTICIPATE AS A PLAINTIFF, CLAIMANT, REPRESENTATIVE, PRIVATE ATTORNEY GENERAL, OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, PRIVATE ATTORNEY GENERAL, OR PUBLIC-INJUNCTIVE-RELIEF PROCEEDING, TO THE FULLEST EXTENT PERMITTED BY LAW. THE ARBITRATOR MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF WARRANTED BY THAT PARTY’S INDIVIDUAL CLAIM.

If twenty-five (25) or more similar arbitration demands or notices are asserted against us by or with coordinated counsel, organizations, funders, claim generators, or representatives, or if AAA designates the matter as a mass arbitration or coordinated filing, each claimant must personally satisfy the informal-resolution requirement and submit an individualized demand with claimant-specific facts and a signed verification. A Process Arbitrator may resolve threshold administrative, filing, notice, verification, compliance, batching, fee, and procedural issues. Claims may be batched, filing and administrative fees may be staged by active batch, and non-active claims will be tolled until selected to proceed, withdrawn, settled, resolved, or terminated, all to the fullest extent permitted by applicable law and AAA rules.

Compliance with Laws

You assume all knowledge of applicable laws and are responsible for compliance with any such laws. You may not use the Site in any way that violates applicable state, federal, or international laws, regulations, or other government requirements. Such laws may include but are not limited to the California Consumer Privacy Act (“CCPA”). You also may not use the Site in any way that violates HIPAA; the FTC Act; the FTC Health Breach Notification Rule if applicable; state health-privacy, breach-notification, consumer-protection, wiretap, call-recording, biometric, telemarketing, email, text-message, accessibility, unfair or deceptive trade practices, or patient-privacy laws; CIPA; TCPA; CAN-SPAM; or applicable professional standards. Botnets; Spamming; Security

ReNew U Therapy & Wellness, LLC retains the right, at our sole discretion, to terminate any User involved with botnets and related activities. If any hostnames are used as command-and-control points for botnets, ReNew U Therapy & Wellness, LLC reserves the right to direct the involved hostnames to a honeypot, loopback address, logging facility, or any other destination at our discretion.

Use of the Site by you for spamming is strictly prohibited. You may not use the Site to transmit unsolicited marketing, phishing, malware, ransomware, credential-harvesting, scraping, denial-of-service, unauthorized tracking, or similar harmful or unlawful activity. Violations may result in civil or criminal liability, and we may investigate, preserve evidence, cooperate with law enforcement, suspend access, and pursue remedies.
